TERMS OF SERVICE AND LICENSE AGREEMENT

This document is a legal agreement ("Agreement") wherein you ("Player") agree to the following terms and conditions. Read the following terms and conditions before using real money with the software (the "Software") accompanied by this Agreement.

HollywoodPoker.com is operated by Vista Global, Ltd. and is powered by Ongame Network Ltd. Ongame Network Ltd. has been granted a gaming licence for poker by the Gibraltar License Authority, license number RGL 033, HollywoodPoker.com is an approved operator for poker under this licence. The poker software is protected by copyright laws and international copyright treaties. All rights, including ownership rights and all intellectual property rights, in and to the poker software and related documentation and trademarks shall remain in Ongame Network Ltd and/or its licensors and suppliers. Without prejudice to other clauses of this Agreement, your right to use the poker software will terminate automatically and immediately if you fail to comply with this Agreement. Upon termination, You must immediately stop using the poker software and you must delete all copies of the poker software. If the poker software is provided to you under a limited "trial period" or similar, your right to use the poker software will automatically terminate upon expiry of the applicable trial period and you must then immediately stop using the poker software and delete all copies of the poker software. You expressly acknowledge that the poker software may include functionality that will enable its licensor to disable your use of the poker software in case of your breach of this Agreement and/or that will automatically disable your use of the poker software upon expiry of any trial period.

BY CLICKING THE "I have read and agreed to the terms & conditions" CHECK BOX OR ACCESSING ANY REAL MONEY PART OF THE SOFTWARE, PLAYER EXPRESSLY AGREES TO AND CONSENTS TO BE BOUND BY ALL THE TERMS OF THIS AGREEMENT. If you do not agree to all of the terms of this Agreement you may not access the real money tables in the Software.

In cases where disputes arise between players, judgments of the HollywoodPoker.com management are final, binding and conclusive in all matters.

1. LICENSE AGREEMENT

This website is owned and operated by Vista Global, Ltd., Abacus, Suite 2, Psaila Street, St. Venera, HMR16, Malta and powered by Ongame Network. All transactions will be billed by OnGame Network Ltd., Europort, Suite 611, Gibraltar. On the player's bank statement, the transactions will be billed as either IFUND-POKERNETWORK or AquaPay London.

OnGame Network grants to Player a non-exclusive license, without right to sub-license, to use the Software, subject to the terms of this Agreement. HollywoodPoker.com and OnGame Network may modify this Agreement at any time without notice and Player shall periodically review this Agreement and any other terms and conditions posted at this Web site at a rate not less than once monthly. Player shall not participate in the Games, open, use or reuse the Software, enter the Web site, or the cardroom, nor accept any prize if Player does not fully understand, agree to, become a party to, and abide by, without exception, all rules, regulations and terms and conditions contained herein, which may change from time-to-time. The term of this Agreement will be automatically extended for three years from the date you receive any HollywoodPoker.com Software upgrades or subsequent HollywoodPoker.com Software versions.

2. LICENSE RESTRICTIONS

You may not: (a) permit other individual(s) to use the Software unless such other individual(s) agree in writing to accept the terms of this Agreement; (b) modify, translate, reverse engineer, de-compile, disassemble or create derivative works based upon the Software; (c) copy the Software; (d) rent, lease, transfer, sublicense or otherwise transfer rights to the Software; (e) remove any proprietary notices or labels on the Software, including the code underlying the Software; or (f) use the Software for any reason other than your private use.

3. LIMITATIONS ON USE

It is each player's responsibility to follow his/her local gaming age restrictions. In any case, no person under the age of eighteen (18) is permitted to participate in games at HollywoodPoker.com. YOU AGREE NOT TO USE THE SOFTWARE TO PARTICIPATE AT HOLLYWOODPOKER.COM EXCEPT WHERE IT IS EXPRESSLY LEGAL TO DO SO. Residents of some locations are prohibited from playing HollywoodPoker.com's games for real money or prizes. It is the responsibility of each player to know and abide by their state law in regards to gaming.

Please be advised that HollywoodPoker has blocked all U.S. players from playing in Real Money games as of 11:59 PM EST on Sunday, November 5th, 2006. This action was a result of The Unlawful Internet Gambling Enforcement Act being signed into law on October 13th, 2006.

After this date, you will continue to have the ability to play in 'Play Money' games at HollywoodPoker.

HollywoodPoker.com reserves the right to cancel or modify any promotion or bonuses at any time without notice.

No person will be allowed to have more than one account. HollywoodPoker.com reserves the right to request a photocopy of a government issued ID, in order to verify a player's identification. If a Player opens more than one account, HollywoodPoker.com reserves the right to block play for all the Players accounts except one remaining account. It is the responsibility of the player to cash-out any remaining funds from the blocked account(s). Any play money credits, poker points, tournament tickets or coupons within the blocked accounts are non-transferable and in such an instance shall be deemed null and void.

Only 1 real money account is allowed per household.
HollywoodPoker.com reserves the right to close any other real money accounts that are traced to the same address or computer. In such a situation, any remaining funds may be cashed out by the player. If promotional bonuses have been deposited into a duplicate account by HollywoodPoker.com, HollywoodPoker.com reserves the right to remove all bonuses paid into all linked accounts. If an amount of money paid into either of the accounts by HollywoodPoker.com is outstanding, HollywoodPoker.com reserves the right to demand that the Player deposits a sum into their account equal to the debt owed. This amount shall be removed by HollywoodPoker.com in order to settle any outstanding debt.

A Player is only allowed to fund 2 real money accounts on behalf of other players.
If a Player funds more than three accounts in total, i.e. their own and 2 other players', HollywoodPoker.com reserves the right to block play for all the accounts except one remaining account. It is the responsibility of the player to cash-out any remaining funds from the blocked account(s). Any play money credits, poker points, tournament tickets or coupons within the blocked accounts are non-transferable and in such an instance shall be deemed null and void.

HollywoodPoker.com assumes no responsibility for the actions by you, the Player. You acknowledge that the games offered by HollywoodPoker.com may be deemed an illegal activity in certain jurisdictions, and represent that you have made a reasonable inquiry into the legality.

HollywoodPoker.com is not responsible for claims for losses or damages resulting from real money play under any condition. Play at HollywoodPoker.com is at the sole option, discretion and risk of the Player. Player is also responsible for maintaining the secrecy and security of their account passwords and other personal security information. HollywoodPoker.com is not responsible for the unauthorized use of your, the Player's, account or any losses that may result, of such unauthorized use.

HollywoodPoker.com also has the right to hold any and all of a player's funds indefinitely if it is found, determined at the sole discretion of HollywoodPoker.com, that the player has been involved in fraudulent activity on HollywoodPoker.com. Fraudulent activity may include, but is not limited to, stolen credit cards, transfer of funds to other player accounts (chip dumping), forgery, collusion and the provision of false account information.

HollywoodPoker deposits and cashouts may support multiple currencies and is not to be responsible for any losses on currency exchanges. The exchange rate used is on the day the deposit or cashout is processed.

HollywoodPoker reserves the right to cash-out any funds to the deposit options previously used on the customer account.

At HollywoodPoker the method by which players receive cash-outs will be dependent upon which payment methods have been used as well as the amount of those transactions.

Upon completion of a deposit on HollywoodPoker, your account will receive a "positive credit back balance" towards the chosen payment method, which is equal to the total deposit amount. Upon request of a cash-out, all funds will automatically be sent back to the payment method/s in which you have established a "positive credit back balance" until these balances have returned to zero.

Example:

Customer X has made two deposits ($100 USD through NETeller and $50 through WebMoney) onto his/her account.

Customer X wins $300 through poker play

Customer X request a $450 USD cash-out via cheque.

The cashout will be divided into three parts:

1. NETeller - $100 USD
2. WebMoney - $50 USD
3. Cheque - $300 USD

HollywoodPoker reserves the right to revoke any player's chat privileges at our sole discretion, without notification.

You may only use the Software in accordance with the rules posted on the HollywoodPoker.com site, as may be modified from time to time. In cases where disputes arise between players, you agree that judgments of HollywoodPoker.com are final, binding and conclusive in all matters. All taxes, duties and fees applicable in connection with any money or prizes awarded to a Player are the Player's sole responsibility. Violation of any HollywoodPoker.com policy or rule may result in suspension or termination of the player's HollywoodPoker.com account.

MAP - MULTI ACCOUNT POLICY

Ongame Network allows players to register accounts with multiple Network Operators, but has the policy that an individual may only register and play for any single tournament from one of these accounts.

Any player who plays in a tournament from multiple player accounts will be in violation of this Multi Account Policy (MAP) and suffer the following consequences:

1. They will be disqualified from a tournament in-progress if the violation is detected in real-time.

2. All money in all their player accounts with Ongame Network operators will be confiscated, and the accounts closed.

3. They will be permanently banned from playing on Ongame Network.

When these banned players are caught, their money will be confiscated and their account closed.

At Ongame Network's discretion, tournament pay-outs (the distribution of tournament prize monies to winners) can be held for up to 14 days if an investigation is required (though we will try to conclude all investigations within 72 hours). Investigations are predicated on automatic processes and manual checks conducted by separate support and security teams both during and after tournaments.

Where an investigation determines there is or has been a violation of the MAP, all accounts suspected of being involved may be frozen for the duration of the investigation. This means that players will not be able to log in or play, and they will not be able to withdraw or transfer funds. We recognize that this will be an inconvenience and we regret that this may affect innocent players.

Where an investigation requires that tournament pay-outs be held pending distribution to winners, Ongame Network will endeavour to communicate this to all players involved shortly after the tournament concludes.

Ongame Network has the policy of not sharing the results of its investigations. However, where appropriate, both the results and actions being taken will be made available to players through Ongame Network Operators' websites. If prizes need to be redistributed, this information will be provided directly to players.

Ongame Network recognizes that it is critically important to provide safe gaming for all our players, and to ensure that our card room is fair. We go to great lengths to eliminate all unfair advantages and are removing the potential advantage provided by using multiple accounts to register for a tournament

We also want to be clear that cheating of any kind will absolutely not be tolerated.

TOURNAMENT COLLUSION REFUND POLICY

This Tournament Collusion Refund Policy is an attachment to the [OPERATOR] Terms of Service and Ongame Network's Multi Account Policy. As such it cannot be reviewed as a stand-alone policy nor does it overrule these documents in case of confliction. Please read through the above two documents before proceeding.

This Tournament Collusion Refund Policy covers [OPERATOR] accounts and [OPERATOR] accounts only. Accounts affiliated with other operators within the network will not benefit from it.

This Tournament Collusion Refund Policy details reimbursement rules in cases of confirmed tournament collusion. The punitive measures enforced upon caught colluders - although mentioned - are regulated by the MAP.

This Tournament Collusion Refund Policy has been engineered to provide just treatment in the case of cheating being determined in tournaments. All decisions will be made by [OPERATOR] and cannot be overruled. Detailed information regarding investigations - and the investigations made by the Ongame Network Security Team - will be released at the investigators' discretion.

The Tournament Collusion Refund Policy deals with three separate types of tournament collusion; checkdowns, chip dumping and co-op play (multi-accounting).

Checkdown

Checking down can occur when two or more players call an all-in player. On [OPERATOR SITE] it is against the rules and ethics of the game of poker to expressively agree upon this conduct.

Equally it is against the rules to suggest such an action. However, merely suggesting it does not equate collusion.

Players found guilty of verbally agreeing to not play each other in a hand with the explicit intent of maximizing the chance of eliminating a third player will receive a warning. Repeat offenders risk having their prize money confiscated.

Chip Dumping

Tournament chip dumping is defined as a situation where one player purposely loses chips to another player with the sole intent of increasing their combined chances of winning prize money. Chip Dumping will incur a permanent ban of all involved accounts and the forfeit of the total value of prize money.

Co-op Play (multi-accounting)

Co-op play is defined as situations where one or more players enter a total of two or more accounts into a tournament (scheduled or Sit & Go) and are sharing, or attempting to share, information about hands or players between them. Sharing information includes playing the accounts from the same computer, using online messaging services or any other form of off- or online communication.

All Co-op play accounts will be permanently banned and risk, based on the MAP, having their prize money and their entire bankroll confiscated. In all cases of multi-account collusion a full investigation of related accounts will also be initiated. The individuals behind all caught accounts are not welcome to play on [OPERATOR SITE] under any circumstances.

4. LIMITED WARRANTY

Neither HollywoodPoker.com nor OnGame Network warrants that the player's use of the Software will be uninterrupted or that the operation of the Software will be error-free or secure. HollywoodPoker.com does warrant to Player that the Software will operate for purposes of normal use for a period sixty (60) days from the date of this Agreement. In the event that this warranty is breached, OnGame Network's and HollywoodPoker.com's only obligation under this Agreement and Player's sole remedy is, at OnGame Network's or HollywoodPoker.com's option, to either (a) have OnGame Network or HollywoodPoker.com replace your Software with new Software supplied by OnGame Network and HollywoodPoker.com; or (b) terminate this Agreement and return any fee, if any, you paid to purchase the Software, provided that such fee will not include any costs resulting from your real-money play.

5. LIMITATION OF LIABILITY

Neither HollywoodPoker.com nor OnGame Network is responsible for any losses incurred by you in real money play. The Software is provided "AS IS." THERE ARE NO WARRANTIES OF ANY KIND AS TO THE SOFTWARE'S IMPLIED MERCHANTABILITY OR TO FITNESS FOR A PARTICULAR PURPOSE, EVEN IF OnGame Network OR HOLLYWOODPOKER.COM HAS BEEN ADVISED OF THAT PURPOSE. NEITHER HOLLYWOODPOKER.COM NOR OnGame Network WILL BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE EVEN IF HOLLYWOODPOKER.COM OR OnGame Network HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This Agreement will not be governed by the United Nations Convention of Contracts for the International Sale of Goods, the application of which is expressly excluded.

6. HOLD HARMLESS AND REMEDY

You agree to hold harmless, indemnify and defend OnGame Network and HollywoodPoker.com, its officers, directors, employees and contractors, from and against any losses, damages, fines and expenses (including attorneys' fees and costs) resulting from your violation of any of the terms of this Agreement.

7. YOUR REPRESENTATIONS AND WARRANTIES

You hereby represent and warrant to us as follows:

A. You have read and you understand this Agreement.

B. The execution, delivery and performance by you of this Agreement and the consummation by you of the transactions contemplated hereby will not, with or without the giving of notice, the lapse of time or both, conflict with or violate: (i) any provision of law, rule or regulation to which you are subject; (ii) any order, judgment or decree applicable to you or binding upon your assets or properties; or (iii) any agreement or other instrument applicable to you or binding upon your assets or properties.

8. SEVERABILITY

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability will not invalidate or render unenforceable any other part of this Agreement, but the Agreement will be construed as not containing the particular provision or provisions held to be invalid or unenforceable.

9. INFORMATION COLLECTION

HollywoodPoker.com will collect information from browsers through using 'cookies'. The information will be, for example, the type of browser you use, your I.P. number etc. This information is collected for security reasons, and with the aim of constantly improving our Web site to better meet your needs.

HollywoodPoker.com uses a session-cookie to authenticate our customers after login. This cookie is terminated as soon as you log out from your account. HollywoodPoker.com will always strive to no unnecessary use of cookies.

10. E-MAILS

HollywoodPoker.com reserves the right to use your email address to send you information regarding HollywoodPoker.com. Your email address will never be sold or shared with any third parties. At any time you can choose to be removed from further mailings by going to the My Account page and ticking the box to not receive newsletters.

11. NO LOAD RELOAD BONUS

Player must have sufficient funds in their account in order to play through the advertised 'no load' reload bonus. If a player does not have sufficient funds to clear the bonus points requirement, the player must make a deposit.

12. TOURNAMENT WINNERS

In the case of winners participating in offline events for HollywodPoker, we reserve the right to use the name, picture, portrait, likeness and / or voice in any promotional material connected with: (i) the Contest; (ii) any future contest; and / or (iii) Sponsor's website and / or online business. Furthermore, in attending the offline-event, the player agrees to outfit themselves, with HollywoodPoker Gear (when and where offline tournament rules allow) and participate in / make themselves available for interviews and other promotional endeavors. Cash alternatives to promotional prize packages and added prizes is at the sole discretion of HollywoodPoker.

13. SERVER CRASH OR GAME FREEZE

In the event of a server crash that removes all players from the table or prevents the hand from continuing, the hand will be considered dead (void) and all monies will be returned to all players.

14. ERRORS THAT DO NOT CAUSE A DEAD HAND

In the even the game pushes the pot to the wrong player or misreads the winning hand, certified poker support service members will correct the error by adjusting the players' accounts within 24 hours.

15. CHEATING OF ANY KIND

The Company may immediately issue a warning, temporarily suspend, indefinitely suspend, and/or terminate your access and use to www.hollywoodpoker.com, withhold your account balance, temporarily or indefinitely suspend your account, and recover any cash-outs, bonuses and winnings, and terminate the Agreement, with or without advance notice, if the Company believes that you have breached any term of the General Terms & Conditions, or any policies, guidelines or rules it incorporates by reference.

Any form if cheating, as determined at the Company's sole discretion, is strictly prohibited. Cheating includes any form of manipulation of the outcome of the hand or game, so that the adds of winning are changed to the favor of the cheating player. In particular, and without limitation, cheating includes any form of 'collusion' as that term is commonly understood in the industry. In addition to any other remedies provided under the General Terms & Conditions, the Company may pursue claims for criminal prosecution and/or civil damages regarding any form of cheating.

The use of any software program which facilitates artificial intelligence, such as poker bots, is strictly prohibited. Prohibited software may include software which allows opponent profiling, player collusion or any other program which the Company considers allows the player to cheat or gives the player an unjust advantage over another player. The Company may take action or procure that action is taken in order to detect and prevent the use by the player of such software, including, but not limited to, reading the list of currently running programs on the player's computer. For further information, see the Prohibited Program Policy.

The Company reserves the right to return funds to its rightful owner, if determined that funds won by the player were from an account that itself had obtained these funds fraudulently, or was being used without the account owner's permission.

16. TEAM PLAY OR COLLUSION

Team play or collusion is the act of two or more players "teaming up" to gain an unfair competitive advantage by signaling card values or making raises and re-raises that are intended to force a victim player out of a pot. If customer service receives a complaint about such an activity, or if the Company suspects such activity, the players accused/suspected will have their accounts and playing activity reviewed by the Company. Players found to have been acting, or reasonably suspected of acting as a team, will have their account privileges terminated throughout the Ongame Network indefinitely. If warranted, the Company has the right to confiscate any funds won by prohibited team play or collusion. The Company will undertake reasonable efforts to distribute confiscated funds to the affected players.

17. TAXES ON WINNINGS:

Depending upon your jurisdiction in which you are located you may be required to report your winnings for tax purposes depending on the laws of your jurisdiction. You will need to look into your own tax laws as to whether any winnings which you may receive are taxable in your jurisdiction in which you reside. Any taxes on winnings is entirely your responsibility.

18. CASH OUT POLICY

If you start a Bonus, you may not make any withdrawal or cash out until you earn 1 Player Point for every $1 in bonus you have selected;

e.g. If you select a $100 Bonus you must earn 100 Player Points before you can withdraw any part of your deposit or any earned bonus money. If you would like to make any withdrawal or cash out before you earn the required Player Points, you will forfeited any money you earn on your Bonus and the Bonus will be cleared from your account.

WSOP 2009 17,000 USD -TERMS & CONDITIONS

1. Player is solely responsible for ensuring that the information registered with the account is correct. Verification may be required.
2. Player must be 21 years of age or above at the start of the tournament(s) included in the package.
3. Packages are personal and may not be transferred.
4. Packages are not refundable for cash.
5. Player approves that HollywoodPoker can utilize his or her personal details for registration, administration and marketing purposes.
6. Player is solely responsible for following instructions provided by HollywoodPoker. For example, instructions regarding tournament registration, sign-up, gear pick-up and hotel check-in.
7. Player is solely responsible for making sure he or she abides by dress codes, ethical rules or other requirements set by the event organizer.
8. Player is solely responsible for showing up in time for the event.
9. Player is solely responsible for making sure winnings are taxed according to local jurisdiction and law.
10. HollywoodPoker retains the right to change information about this event at any time.
11. HollywoodPoker retains the right to cancel the event and replace it with another event of HollywoodPoker's choice; offering a package of equal value.
12. Failure to comply with any of these terms may - at the sole discretion of HollywoodPoker - lead to the player forfeiting his or her right to all or some elements within the package such as buy-in and/or accommodation.
13. Player must wear HollywoodPoker branded gear (clothes etc) made available to player at location or in advance.
14. Player may not, while playing any event included in the packages, represent another site or sign sponsorship with any other gaming operation.
